NOTICE OF ORGANIZATION
The name of the Company is S & J Convenience, LLC.  The address of the registered office is 1403 Illinois Street, Sidney, Nebraska 69162.  The general nature of the business to be transacted is any lawful business for limited liability companies in Nebraska, including to conduct the business of a service station, which business shall include dealing in gasoline and all other petroleum products, all kinds of oils and products used for motor fuel or lubrication; the washing, polishing and storing of motor vehicles; to merchandise, sell, offer for sale and distribute retail foods and foodstuffs of all kinds and descriptions, whether in bulk, packaged, bottled or canned, including beverages of all kinds and for all purposes; to sell and distribute alcoholic beverages and other related food and foodstuffs of all kinds and for all purposes; to conduct, furnish, equip and manage eating establishments and to prepare and serve all food and beverages; and to apply for, hold, transfer, assign, sell or otherwise dispose of all licenses pertinent to the above operations; and to sell, convey, lease, acquire, use, exchange, mortgage, deed in trust, turn to account or otherwise deal in any lawful manner in real and/or personal property or any interest therein and to make and obtain loans on real estate, improved or unimproved, and on personal property, giving or taking evidence of indebtedness and securing the payment of loans by mortgage, trust deed, pledge or otherwise and to enter into contracts to buy or sell, lease, use or exchange any property, real or personal.  The Company commenced on February 5, 2010, and the duration is perpetual.  The affairs of the Company will be conducted in accordance with the Operating Agreement.

The City of Sidney, Nebraska will receive sealed bids for one new POWER TRANSFORMER per bid specifications until 10:00 A.M. on March 16, 2010 at the office of the City Clerk, 1115 13th Avenue, at which time they will be opened and read aloud.  Bid specifications are available at the City Clerk’s office.  The City of Sidney reserves the right to accept or reject any or all bids or to waive technicalities.
